6.2 Client Intellectual Property

Clients retain ownership of:

  • Customized documentation created for the client
  • Business strategies and plans

6.3 Work Products

Deliverables created specifically for clients become client property upon full payment, subject to our right to retain copies for professional records and continuous improvement.

7. Confidentiality

Both parties agree to maintain confidentiality of:

  • Any information marked as confidential

7.2 Professional Standards

8. Liability and Disclaimers

Our services are provided on a professional basis using reasonable skill and care. We make no guarantees regarding:

  • Certification outcomes with third-party certification bodies
  • Specific business results or improvements
  • Regulatory approval or compliance outcomes
  • Market performance or competitive advantage

8.2 Limitation of Liability

To the maximum extent permitted by law:

  • Our liability is limited to the fees paid for the specific services
  • We are not liable for indirect, consequential, or punitive damages
  • We are not responsible for client implementation of recommendations
  • Claims must be made within 12 months of service completion

8.3 Client Indemnification

Client agrees to indemnify QualiNext against claims arising from:

  • Client's implementation of recommendations
  • Misrepresentation of information provided to us
  • Client's violation of applicable laws or regulations
  • Unauthorized use of our intellectual property

9. Website Terms

  • Each party will return confidential materials
  • Accrued rights and obligations survive

13. Force Majeure

Neither party will be liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, pandemics, or other unforeseeable events.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of Nigeria. Any disputes will be resolved through:

  • Good faith negotiation as the first step
  • Mediation if negotiation fails
  • Arbitration or court proceedings as a last resort

15. General Provisions

15.1 Entire Agreement

These Terms, together with specific project agreements and our Privacy Policy, constitute the entire agreement between the parties.

15.2 Modifications

We may update these Terms from time to time. Material changes will be communicated to active clients with reasonable advance notice.

15.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

15.4 Assignment

These Terms may not be assigned without written consent, except that we may assign to affiliated companies or in connection with a business transfer.
